What the agency layer needs to control

The useful task is to separate sales support from legal authority.

A strong agency agreement usually defines what the agent may do, what the agent must not do, how commission is earned, who owns customer relationships, and how the company protects the brand if the agency relationship ends.

Authority and role

Clarify whether the agent can negotiate, quote, sign, collect, represent, or only introduce and support sales opportunities.

Commission and payment

Define commission triggers, exclusions, refunds, customer disputes, payment timing, and what happens when orders are cancelled or delayed.

Brand and exit

Control trademark use, customer lists, marketing claims, confidentiality, non-circumvention, and post-termination conduct.
